Senior Associate — Corporate Secretarial

Job Description

We are seeking a meticulous and motivated Corporate Secretarial Senior Associate to join our growing team. You will be responsible for supporting a portfolio of local and international clients in ensuring compliance with Singapore's corporate governance and statutory regulations. The ideal candidate should possess a keen eye for detail, strong organizational skills, and a passion for providing excellent service.

The successful candidate will work with the team to manage a portfolio of clients for listed and non-listed entities, ensuring compliance with the Singapore Companies Act, SGX Listing Rules, and other regulatory frameworks.

Key Responsibilities

  • Handling a full comprehensive range of corporate secretarial tasks under the minimum supervision of the CEO and/or Senior Manager or Supervisor.
  • Handling a portfolio of clients for the customer due diligence, incorporation of companies, corporate restructuring, corporate actions, corporate secretarial-related documents, striking-off procedures, and other ad-hoc corporate secretarial matters for listed and non-listed companies.
  • Preparing listed companies' resolutions for directors and shareholders, general meetings' materials, drafting announcements, attending and recording the meetings of the board and board committees.
  • Guiding Corporate Secretarial Associates as and when assigned.

Requirements

  • Minimum 2–4 years of corporate secretarial experience; listed company experience preferred.
  • Pursuing or holding an ICSA/CSIS/CGI qualification is an advantage. Degree holders with corporate secretarial experience are welcome.
  • Proficient in corporate secretarial documentation, filings, and regulatory platforms (BizFile+, SGXNet).
  • Knowledge of the Singapore Companies Act, ACRA requirements, and corporate governance; SGX Listing Rules experience preferred.
  • Strong attention to detail, organizational skills, and ability to manage multiple deadlines and work in a fast-paced environment.
  • Good interpersonal and communication skills.
  • Discreet and able to handle confidential information.
  • Proactive, motivated to learn, a team player, and passionate about professional service delivery.
